These terms govern your use of the Quellery software ("Quellery") and the quellery.io website. Quellery is provided by Functional Core Ltd, a company registered in England and Wales (company number 11693194; registered office: 5 Beech Court, Hurst, Reading, England, RG10 0RQ) ("we", "us"). By downloading, installing, running, or purchasing a licence for Quellery, you agree to these terms. If you are agreeing on behalf of an organisation, you confirm you have authority to do so on its behalf.
Quellery is a self-hosted application for documenting and validating database schemas. You download it, run it inside your own infrastructure, and connect it to your own databases. We do not host Quellery for you and we do not have access to the data it processes.
Quellery runs without a licence file in trial mode. Every feature is available, subject to the quantity limits published on the Pricing page. Trial mode is provided on the same "as is" basis as a paid licence (see §7).
If you hold a valid, current Quellery licence file, we grant you a non-exclusive, non-transferable, non-sublicensable right to install and use Quellery for your internal business purposes, subject to the user count of the edition you purchased:
The licence is for use within one organisation. You may not share a licence file between organisations, redistribute it, or make it available to third parties.
You may not: (a) reverse-engineer, decompile, or attempt to derive source code from Quellery except to the extent this restriction is prohibited by applicable law; (b) remove or alter proprietary notices; (c) sublicense, resell, lease, or otherwise make Quellery available to anyone outside the organisation that holds the licence; (d) use Quellery to build a competing product; or (e) circumvent the user-count limits of your edition.
Quellery and all associated intellectual property remain the property of Functional Core Ltd. These terms grant you only the rights expressly set out in §3. No other rights are granted by implication.
Prices and billing periods are as published on the Pricing page at the time you place your order. Subscription licences (Team, Enterprise, and the subscription variant of Personal) renew automatically each year at the then-current price for your edition. If you signed up at an early-bird price, that price is locked in for subsequent renewals for as long as your subscription remains continuously active.
You may cancel a subscription at any time via the Polar customer portal linked from your purchase confirmation email; cancellation takes effect at the end of the current billing period. Refunds are available within 30 days of purchase — email licences@quellery.io with your licensee name and purchase email to request one.
Quellery is provided "as is" and "as available", without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that Quellery will be error-free, that it will meet your specific requirements, or that the migration scripts it generates will execute successfully against your data. You are responsible for reviewing generated SQL, testing it against non-production environments, and taking appropriate backups before running it in production.
To the maximum extent permitted by law, our total aggregate liability to you under or in connection with these terms is limited to the fees you have paid us for Quellery licences in the twelve months immediately preceding the event giving rise to the claim. We will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, however caused. Nothing in these terms limits liability that cannot be limited by law, including liability for death or personal injury caused by negligence, or for fraud.
You are solely responsible for the databases you connect Quellery to, the credentials you supply, and the data those databases contain. Quellery encrypts stored database credentials using an encryption key you provide; protecting that key is your responsibility. We cannot recover data from a running Quellery instance because we have no access to it.
Your right to use Quellery continues for as long as you hold a valid licence (or for as long as you use the trial). We may terminate your licence if you materially breach these terms and do not remedy the breach within 30 days of written notice. On termination, you must stop using Quellery and delete your licence file; the disclaimers and limitations in §7 and §8 survive termination.
We may update these terms from time to time. If we make material changes, we will update the "Last updated" date at the top and — for existing subscribers — give reasonable notice before the changes take effect at your next renewal.
These terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising out of or in connection with them, except that we may bring proceedings in any jurisdiction to protect our intellectual property rights.
